1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and BizCore ("BizCore", "we", "us", or "our"), governing your access to and use of the BizCore platform, including our website at bizcorehq.com, web application, APIs, and all related services (collectively, the "Service").

By creating an account, accessing the Service, or clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

BizCore provides a cloud-based customer communication and support platform that includes:

3. Accounts & Workspaces

3.1 Registration

To use BizCore, you must register for an account by providing a valid email address and creating a password. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@bizcorehq.com of any unauthorized access to your account. BizCore is not liable for any loss or damage resulting from unauthorized account access.

3.3 Workspaces

Each account may create one or more Workspaces. A Workspace is an isolated environment containing your websites, conversations, team members, and settings. The person who creates a Workspace is the Workspace Owner and has administrative control over it.

3.4 Team Members

Workspace Owners may invite other users (agents) to join their Workspace. You are responsible for ensuring that all team members comply with these Terms.

3.5 Age Requirement

You must be at least 16 years old to create an account. If you are under 18, you represent that you have your parent's or guardian's consent to use the Service.

4. Acceptable Use

You agree not to use the Service for any purpose that is unlawful, harmful, or otherwise prohibited by these Terms. Specifically, you must not:

5. Plans & Billing

5.1 Free Plan

BizCore offers a Free plan with limited features. No payment information is required to use the Free plan.

5.2 Paid Plans

Paid plans (Starter, Pro, Business, Enterprise) are billed on a subscription basis (monthly or annually). All fees are stated in US dollars and are non-refundable except as required by applicable law or as explicitly offered by BizCore.

5.3 Billing Cycle

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period.

5.4 Price Changes

We may change pricing with at least 30 days' notice. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

5.5 Taxes

You are responsible for all applicable taxes, duties, or levies in connection with your purchase. BizCore may collect taxes where required by law.

6. Your Data

6.1 Ownership

You retain full ownership of all data, content, and information you submit to the Service ("Customer Data"), including conversation transcripts, contact records, knowledge base articles, and workspace configurations.

6.2 License to BizCore

By using the Service you grant BizCore a limited, non-exclusive, worldwide license to host, store, process, and transmit your Customer Data solely to provide and improve the Service.

6.3 Data Portability

You may export your data at any time through the Service's export features or by contacting support. Upon account termination, data is retained for 30 days and then permanently deleted.

6.4 Security

We implement industry-standard security measures to protect your data, including TLS encryption in transit, encryption at rest, and role-based access controls. See our Privacy Policy for full details.

7. Intellectual Property

The Service, including its design, code, trademarks, logos, and content created by BizCore, is owned by BizCore and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

BizCore grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

You grant BizCore permission to use your company name and logo solely to identify you as a BizCore customer in our marketing materials, unless you request otherwise in writing.

8. Third-Party Services

The Service integrates with third-party providers including but not limited to:

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZCORE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant the accuracy or completeness of any AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZCORE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BIZCORE'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO BIZCORE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

11. Termination

11.1 By You

You may terminate your account at any time by contacting support@bizcorehq.com or using the account deletion feature in your workspace settings.

11.2 By BizCore

We may suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms, have engaged in fraudulent or illegal activity, or if continued provision of the Service is no longer technically or commercially feasible.

11.3 Effect of Termination

Upon termination, your access to the Service ceases immediately. Your Customer Data is retained for 30 days, after which it is permanently deleted. Provisions that by their nature should survive termination (ownership, disclaimers, limitations of liability, governing law) shall survive.

12. Changes to Terms

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email and/or by displaying a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which BizCore is registered, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of that jurisdiction, and you consent to personal jurisdiction therein.
